1. What this is
Voice Memo VC ("we", "us") makes content about ideas that people send us as voice memos, and uses those memos to show how investors think. When you record or upload a memo through this site (your "memo"), you are pitching that idea to us for possible use in our content. These terms are the agreement between you and Voice Memo VC. They are written to be read, so please read them.
2. Who can submit
You must be 18 or older and legally able to sign this agreement. You confirm that you are. If your memo features anyone else, you confirm they gave you permission to grant us every right described here. This site is not for anyone under 18; if we learn a submitter is under 18, we delete the memo.
3. Any memo may be published
Every memo you send may be selected and made public. If we select your memo, it will be published. We choose which memos to use, how to edit them, and where and when to post them. We are not obliged to use, review, respond to, credit, return or keep any memo. Publishing a memo is not an endorsement of the idea and not a statement that anything in it is true.
4. The license you give us
You give Voice Memo VC, its owners, collaborators, successors and anyone we authorize a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to store, transcribe, copy, edit, cut, excerpt, re-order, caption, translate, add music, graphics and commentary to, alter or replace the voice in, re-perform or narrate, publish, distribute, publicly perform and display, and make derivative works from your memo. "Memo" means the recording, its transcript, the words and idea in it, and your name, voice, image and likeness as they appear in it.
We may use it in any media now known or later developed, including social media, podcasts, video, newsletters, live shows and our website, and in advertising and promotion of our channels and content, including sponsored content, with or without credit, and without further notice, approval or payment to you.
Until we publish, you can withdraw this license (section 5). For any version we publish or produce, the license is perpetual and cannot be withdrawn, to the fullest extent the law allows.
5. Changing your mind before we publish
You can withdraw your memo at any time before we publish it. Email us from the address you submitted with (that is how we verify it is you) and say "withdraw", or reply to the receipt we sent you. If you withdraw, the license ends, we do not publish, and we delete the recording and transcript within 14 days. We do not publish any memo within 48 hours of receiving it, so you always have at least that long. After we publish, the license for the published version cannot be withdrawn, but section 13 explains how to have it taken down from our accounts.
6. How we protect your identity, and the limits
Before publishing, we remove your name, your company name and your contact details from the audio and the caption, and we may change or cut other details at our discretion. Your voice is published as recorded unless you ask us, when you submit or before we publish, to alter it or to have a host read your memo instead. If we alter or re-voice a memo, we may label the post as altered or AI-generated where a platform requires it.
We cannot guarantee that no one will recognize you, from your voice or from what you say, so do not include anything you would not want attributed to you. If you tell us you need anonymity and we cannot provide it, we will not publish.
7. Not confidential, not paid, not a partnership
Nothing you send us is confidential or proprietary, and no confidentiality, fiduciary or other special relationship is created by submitting, by our reviewing your memo, or by anything we say to you. You will not be paid or credited for your memo, its use, or the idea in it, and you have no right to approve how we use it. We may already have, or may later receive or create, ideas that are similar or identical to yours, and we may use them without any obligation to you. Submitting does not make us partners, joint venturers, agents, employer and employee, or investor and founder, and is not an offer or acceptance of an investment. Do not include trade secrets or anything you need to keep secret; if you do, you agree we have no duty to protect it.
8. You keep your idea
You keep ownership of your memo and of your idea. This license is not exclusive: you can pitch, build, sell or publish your idea anywhere, and nothing here stops you.
9. Your name, voice and likeness
You consent to our using your name, voice, image, likeness, business name and the biographical details in your memo, in the memo itself and in the edited, captioned, anonymized, voice-altered or narrated versions we make, for the uses described in section 4, anywhere in the world, without further payment. If we produce a synthetic-voice version to anonymize your memo, it will use a generic voice that is not a copy of yours; we will not create a digital copy of your own voice unless you separately agree in writing to exactly how it will be used. This consent is given in writing by your electronic signature (the box you check).
10. What you promise
- The memo is your own work and you have the right to grant this license.
- It contains no confidential or proprietary information of an employer, client or anyone else.
- No other person's voice, image or personal information appears in it without their permission.
- It contains no statements of fact about identifiable people or companies that you cannot back up.
- It contains no health, financial, government-ID or other sensitive personal details about you or anyone else.
- It is not unlawful, defamatory, threatening or infringing, and sending it does not break any agreement you have.
- The name and email you give us are yours and accurate.
11. Responsibility for what you say
You are responsible for what is in your memo. If someone brings a claim against us because your memo broke one of the promises above, you agree to cover our reasonable costs and losses from that claim. We may edit, decline or remove any memo at any time, and we review complaints about published memos at the contact address.
12. Release
To the extent the law allows, you release Voice Memo VC, its owners, collaborators, guests, successors and licensees from any claim arising from our use of your memo in the ways you have authorized here, including claims for invasion of privacy, defamation or false light based on how you are portrayed, right of publicity, copyright, and any claim that we used or paid nothing for "your idea". This release does not cover our fraud or willful misconduct, or anything the law does not let us disclaim.
13. Taking it down after publication
If you ask us, from the email address you submitted with, to take down a published memo, we will remove or unlist it from the accounts and sites we control within 14 days, stop using the recording in new posts, and delete the recording and transcript from our active systems. We cannot recall copies that others have downloaded, reposted, screenshotted or indexed, and copies may remain in platform backups. You can also use the platforms' own privacy tools: YouTube, Instagram, TikTok. We keep your signed agreement and a record of your request so we can show what you agreed to and what we did.
14. Platforms, no warranty, limit on liability
Platforms may remove, label or restrict our posts on their own; that is not a breach of this agreement. The site and automatic transcripts are provided as is; transcripts contain errors. To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, and our total liability for any claim related to a memo is limited to one hundred US dollars. Nothing here limits liability the law does not let us limit.
15. Governing law, disputes, changes, signature
These terms are governed by the law of the State of [State], United States. Either of us may bring a claim in the state or federal courts in [County, State], and both of us consent to their jurisdiction. If any part of these terms is unenforceable, the rest stands. We may update these terms; each version is numbered, the version you agreed to is stored with your memo, and changes do not apply to memos sent before them. Checking the box is your electronic signature; we record it together with the name you entered, when, from where and to which version you agreed.
